We partner with high-growth companies to provide customized capital solutions, ensuring strong risk-adjusted returns for our investors while upholding the highest standards of corporate governance, transparency, and ethical conduct. ## Position Summary We are seeking a high-performing, detail-oriented, and integrity-driven **Senior Analyst / Associate** to join our investment team. The candidate will play a critical end-to-end role across the transaction lifecycle—ranging from deal origination and rigorous due diligence to transaction documentation, closure, consummation, and ongoing portfolio monitoring. The ideal candidate possesses exceptional financial acumen, a deep understanding of Indian credit markets and regulatory frameworks, and a proven ability to manage complex institutional relationships. ## Key Responsibilities ### 1. Deal Origination & Pipeline Management * Actively map the market, build networks with intermediaries (investment bankers, wealth managers, corporate advisors), and identify proprietary debt investment opportunities matching the fund’s mandate. * Prepare compelling initial deal screens, teaser notes, and non-binding term sheets for internal investment committee reviews. ### 2. Comprehensive Due Diligence * Conduct deep-dive financial, commercial, tax, and operational due diligence on prospective borrowers. * Build detailed financial models, cash-flow projections, stress-test scenarios, and debt-service coverage ratio (DSCR) simulations. * Coordinate and oversee third-party diligence agencies (legal, financial, and technical auditors). ### 3. Deal Structuring, Documentation & Consummation * Collaborate with senior leadership to design bespoke credit structures, tailor security packages (pledges, hypothecation, mortgages), and negotiate robust covenant frameworks (financial and affirmative/negative covenants). * Work closely with legal counsels to draft, review, and finalize definitive transaction documents (Facility Agreements, Debenture Trust Deeds, Hypothecation/Share Pledge Agreements, Guarantees etc ). * Manage conditions precedent (CPs) and conditions subsequent (CSs) to achieve smooth transaction closure and fund disbursement (consummation). ### 4. Portfolio Monitoring & Relationship Management * Maintain proactive, continuous surveillance over the assigned portfolio of investments, tracking early warning signals and financial key performance indicators (KPIs). * Review periodic compliance certificates, financial statements, and covenant testing reports submitted by portfolio companies. * Act as a primary point of contact for portfolio companies, nurturing long-term relationships while safeguarding the fund’s capital interests. * Prepare regular portfolio performance updates and asset-quality reviews for the Investment Committee and Limited Partners (LPs). ## Required Skills, Competencies & Governance Mindset * **Analytical Excellence:** Superior command over financial statement analysis, credit underwriting methodologies, and cash flow modeling. * **Regulatory & Compliance Awareness:** Sound working knowledge of the SEBI regulations (AIF frameworks), Companies Act, Insolvency and Bankruptcy Code (IBC), and FEMA guidelines relevant to alternate debt transactions in India. * **Integrity & Governance:** Uncompromising ethical standards, commitment to confidentiality, and strict adherence to institutional compliance policies, KYC/AML norms, and conflict-of-interest guidelines. * **Interpersonal & Communication Skills:** Exceptional negotiation prowess, clear articulation in written term sheets/memos, and the ability to foster enduring relationships with promoters, co-lenders, and advisors. * **Execution Rigor:** Ability to manage tight transaction timelines, multi-task across concurrent live deals, and demonstrate high resilience under pressure. ## Qualifications & Experience * **Education:** Mandatory minimum qualification of an **MBA (Finance specialisation preferred)** or a qualified **Chartered Accountant (CA)**. * **Experience:** **5 years +** of relevant professional experience in private credit, debt funds, corporate banking, credit rating agencies, or investment banking (debt capital markets/structured finance) within the Indian financial ecosystem.
